UrHelpur Constitution
1. Name
The name of the organisation is UrHelpur (the “Organisation”).
2. Status
UrHelpur is a not-for-profit organisation. Any surplus income will be used to support and improve the Organisation’s work and will not be distributed for private profit.
3. Purpose (Aims)
The Organisation exists to support people (especially older adults and those who need extra help) to live with dignity, confidence, and independence by providing pre-booked, practical support, including:

Appointment chaperone support (including accompanied travel as part of an arranged support package)

Digital assistance (including help using the NHS App, devices, and online services)

Admin support (help with forms, calls, and everyday “life admin”)
4. Values
UrHelpur will:

Treat everyone with respect, kindness, and patience

Promote independence and choice

Keep people safe and safeguard wellbeing

Protect privacy and handle information responsibly

Be clear about boundaries (pre-booked support; not an emergency service)
5. Activities
To achieve its aims, the Organisation may:

Provide one-off or regular support visits

Work with families, carers, and local partners (with consent)

Signpost to other services when needed
-
Raise funds and accept donations or grants to support its work
6. Membership
Membership is open to individuals who support the Organisation’s aims.

Members must act in the best interests of the Organisation.

The Organisation may keep a simple list of members.
7. Management
The Organisation will be managed by a small leadership group (the “Management Team”).

The Management Team is responsible for decisions, finances, policies, and safeguarding.

The Management Team may appoint roles (for example: Chair, Secretary, Treasurer) if helpful.

Conflicts of interest must be declared and recorded.
8. Meetings

The Organisation will hold at least one meeting each year to review activities and plans.

Decisions may be made by majority agreement of the Management Team.

Notes of key decisions should be kept.
9. Finance

The Organisation will keep clear financial records.

Money will be used only to further the Organisation’s aims.

The Organisation may reimburse reasonable expenses.
10. Safeguarding and Safety
UrHelpur will take safeguarding seriously and will:

Follow safe working practices

Keep appropriate checks/training where needed

Maintain clear boundaries and referral routes for concerns
11. Data Protection
The Organisation will handle personal information in line with its Privacy Policy and applicable data protection law.
12. Changes to this Constitution
This constitution may be changed by agreement of the Management Team, provided changes support the Organisation’s aims and not-for-profit status.
13. Dissolution
If the Organisation closes, any remaining assets (after paying any debts) will be given to another not-for-profit organisation with similar aims, and will not be distributed to individuals.
